1. Agreement to Terms

By accessing our website or engaging with UmmeedLabs ("Company," "we," "our," or "us") for custom design, engineering, or consulting services, you agree to comply with and be bound by these Terms of Service. If you do not agree to these terms, you must not access our site or utilize our services.

2. Scope of Service

UmmeedLabs designs and programs bespoke digital systems including custom websites, SaaS interfaces, mobile applications, database architectures, and automated workflow pipelines. Each custom engagement is governed by an independent Statement of Work (SOW) outlining the specific deliverables, milestones, and timelines.

3. Fees and Billing Terms

Clients agree to pay all service fees outlined in the respective proposal or SOW.

• Milestone Payments: Standard projects are divided into milestone cycles (e.g. discovery, layout design, functional launch, and handover). Payment is due prior to the start of each phase.
• Merchant Transactions: We use Paddle (as the merchant of record) or Stripe to process invoice transfers. You agree to provide accurate and complete billing information.
• Late Payments: We reserve the right to suspend development progress or revoke server access if invoice payments are delayed.

4. Intellectual Property & Code Ownership

Upon receipt of full final payment for a completed project, the intellectual property rights and code repository ownership of the customized deliverables are transferred to the Client.

• Pre-Existing Materials: UmmeedLabs retains all rights to its pre-existing components, design kits, standard templates, or open-source utilities utilized in building the software.
• Third-Party Components: Any licensing fees for third-party plug-ins, fonts, or database services required for the software will be paid directly by the Client.

5. Client Responsibilities & Feedback

Timely project delivery depends on active client communication. The client agrees to provide necessary media assets, API access credentials, content, and feedback within the agreed review cycles. Delay in providing assets or reviews may result in project schedule adjustments.

6. Warranties and Limitation of Liability

Our services are provided on an "AS IS" and "AS AVAILABLE" basis. While we build systems in line with high engineering standards, we do not warrant that the deliverables will run entirely free of bugs, browser changes, or server downtime.

In no event will UmmeedLabs be liable for any indirect, special, consequential, or punitive damages, or loss of profits arising out of the project, exceeding the total amount paid by the Client to the Company for the specific SOW in question.

7. Governing Law

These terms and any contracts arising under them shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company operates, without giving effect to conflict of laws principles.
